VP & Associate General Counsel

The Associate General Counsel -TAA will serve as the senior attorney for and provide legal advice and guidance on a wide variety of commercial and contractual matters involving, TAA. In addition to handling a wide variety of commercial contracting and licensing matters, the Associate General Counsel -TAA will be a member of both (1) TAA's Executive Team and (2) the GLCD's Legal Leadership Team. Business facing attorneys supporting TAA anywhere in the world will report directly or indirectly to the Associate General Counsel - TAA. Essential Duties and
Responsibilities:
Providing comprehensive legal counseling regarding a broad spectrum of corporate, commercial, privacy and regulatory matters impacting TAA. Structuring, drafting, negotiating, interpreting, managing, and enforcing all types of agreements, including customer agreements, vendor agreements and partnering, joint venture and strategic alliance arrangements. Supporting the business development and M&A functions with respect to due diligence matters and post-acquisition integration of new businesses. Keeping TAA's management team and the General Counsel abreast of significant legal developments affecting TAA's business. Advising TAA's senior management on legal compliance and risk management to accomplish business objectives without undue risk to the businesses, as well as providing strategic legal advice to the senior leadership teams of TAA. Manage the TAA legal staff and build a strong team environment within that group and more generally within the entire GLCD. Effectively manage outside counsel in a cost-effective manner. Developing a strong rapport and working relationship with the TAA's management team and GLCD colleagues. Driving consistency of process and standardization, fostering knowledge sharing and supporting technology to automate tasks. Having an in-depth understanding of the TAA businesses, its people, organization, markets, products, customers, competitors, and regulatory environment. Educating business teams about contracting forms, intellectual property rights and obligations, commercial and legal risks and internal contract review and approval procedures. Supporting the GLCD's M&A, regulatory, employment and litigation teams with respect to matters affecting TAA. Performing other assignments as designated by the General Counsel. Education:
Candidates must have both a bachelor's degree and law degree (J.D.), be admitted to practice law in the state in which his or her assigned office is located.
Experience:
Ten or more years of progressively responsible corporate/commercial legal experience, preferably including experience with both a law firm and a corporate law department as well as international experience. Strong intellect, excellent legal acumen, and rigorous analytical skills. Understanding of privacy laws and regulations applicable to TAA's business. Superior legal drafting and negotiating skills. Excellent communications and change management skills. A proven track record of working well with and influencing a management team. The ability to grasp and facilitate management objectives, yet the willingness and ability to provide objective, independent assessments and advice that is consistent with Law Department standards. Unquestioned integrity and business ethics. A proactive, energetic, and enthusiastic approach to all tasks, and the confidence to work effectively with a talented and demanding client group. The ability to handle a substantial workload, including multiple, concurrent projects, many involving time pressured situations. The experience and confidence to push for change and, when appropriate, to challenge the status quo, in a way that will be heard and respected. A willingness to travel when necessary or appropriate. Poise and strong interpersonal skills. Decisive and calm under pressure. Work well as a member of a team.
Salary Range:
$250K -- $500K+
Minimum Qualification
Legal & RegulatoryEstimated Salary: $20 to $28 per hour based on qualifications.

The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
